Early Heads Up for your Clients

Hi guys,

Just getting in touch as I'm sure it's a stressful time for you with everything that's going on at a time when you're supposed to be getting excited about your wedding. I'm here to hopefully set your mind at rest about some stuff where your photography is concerned.

First of all, if your wedding is on as planned and I'm not ill or isolating, I'm there with all my heart and soul. This whole episode has just made me even more passionate about capturing the love and happiness in the world, and so grateful to be able to share these occasions with people like you.

If you do need to postpone because of the pandemic, I'll happily move you to a new date with no penalty. I'd just ask you co-ordinate with me on the new date to make sure I'm free, and to pay 50% of your balance payment (if possible) at the time of the re-arrangement because this is tough times for businesses like mine and doing this will help me no end to get through this year personally and professionally. The remaining balance will still be due a month before the new date. If that's not possible of course we can discuss options.

If I am ill or isolating at the time of your wedding I have a vast network of wonderful photographers I can call on to stand in for me. They will be there to photograph your wedding just as passionately as me, I will then edit the photos in the style you love and provide the rest of my service as agreed. But rest assured I'm doing all the right things to keep myself as safe and healthy as possible to make sure I can be at your wedding – that is my priority.

Early Heads Up (Graham Warrellow)

Hi xxx,
I hope you are all keeping well. With all the uncertainty around at the
moment, I just thought I should get in touch.
I’m sure that the current coronavirus situation is causing a huge amount
of stress with all your wedding planning but I just wanted to reassure
you on a few things. First of all, if there are no travel restrictions and the
wedding takes place as planned then I’ll be there too!
I’m sure we are all hoping that the seriousness of the situation will be
over by the end of May but if you are considering rescheduling your
wedding then I would of course love to shoot your wedding on the new
date. If you decide to go down this route and have several new dates
under consideration then please let me know so that I can advise you of
my availability. Naturally your booking fee would be carried over.
Secondly, although I normally request final payment at least one month
before the wedding date, under these unusual circumstances I have
decided to allow payments much, much closer to the wedding day. This
will allow you greater flexibility before making any final decisions and
also give you some peace of mind regarding the photography.
I am passionate about my weddings and want to be able to work with
you and help in any way to share your special day over in Mallorca with
friends and family.
Please keep me updated on your thoughts. As always, if you have any
questions, please do not hesitate to ask.

What if we need to cancel (Blake Ezra)

Thanks for getting in touch and I'm sorry you're having a stressful time at the moment. It's a terribly difficult situation for so many of us.
Officially our policy, according to the contract, is that any postponement or cancellation results in a loss of any monies paid to date, whatever the reason.
With the situation as it is, wherever possible we are taking a different approach to our contract and normal policy, I recognise that everyone is going through a very difficult time.
So we've actually asked existing clients to hold back from paying our second invoices at this stage until we know with any kind of clarity what's going on and when their event might be. We will also carry the deposit over and use it for a new date, as long as I am available for the new date.
I hope that helps for now, and am sorry that what should be a joyous experience is now a potentially stressful one.
We are here for whatever you need, please do keep us posted.

Possibly/probably Postponing Close to Date

Hey guys,

Sorry to hear this! Please know that I and all your suppliers want to make this as smooth and stress free as we can for you.

Here are my currently BOOKED dates for you, I’ve put them on a web page so I can keep it up to date as people reschedule – I’m expecting all my weddings May-August to reschedule as things stand:

I’d still ask you to pay your balance payment as planned on the [original balance date]. This is because I can’t roll all payments forward as I’ll be at risk of hitting the VAT limit and having to charge VAT to everyone. There’s no additional fee to reschedule and you won’t have to pay any more if you go for a date in 2021.

Do you have wedding insurance? If so I believe many are paying out so worth speaking to them.

Here are some suggestions which I think will make your rearrangement easier:
– Consider midweek dates, suppliers will find it easier to do this and you are more likely to find dates all your existing suppliers can do
– Push it back as far as you’re comfortable, it seems this lockdown will be here for months possibly to the end of summer
– Make decisions as swiftly as possible because I and all your suppliers will be dealing with a high number of reschedules, making decisions sooner rather than later will mean you have more choice of dates

I know you've set a new date but as things stand I'm not available personally to be there on that date. However I do have a process in place. But is that date set in stone? If not, can we work together on a new date? I'm free on these dates around that time: [insert available dates here] – I really hope we can work this out because this whole episode has just made me even more passionate about capturing the love and happiness in the world, and so grateful to be able to share these occasions with people like you.

If that new date you mentioned is set in stone I will still work with you right up to the date itself on the pre-planning, and getting all the info from you as well as planning how photography is going to fit into the day itself. On the day one of my wonderful and talented associate photographers will be there to capture all the moments and portraits taking the same approach as I would have done – I'll also set up a Skype for you to meet them before the wedding day. They will then hand the raw files over to me for editing in the style that you love and I'll deliver the rest of your service as agreed.

Let me know if you're a) able to change to a date I'm free or b) want to go ahead with the associate option and I'll send over the info you need to confirm the postponement and new date.

Thanks for getting in touch. Really sorry you're having to deal with all this at the same time as planning your wedding. I know you never expected to be having to do this, and it sucks that you're having to cancel your wedding plans for now.

Under my cancellation terms your £x payment is non-refundable as it is treated as a booking fee to secure the date. I'm sure you can understand as a tiny business I rely on this policy to keep me in business and allow me to put food on my family's table, now more than ever as I'm sure you can understand how this crisis has affected my own life and livelihood. The wedding industry has been brought to its knees and we're feeling that on a very personal level.

What I will say is that once you're in a position to set a new date for your wedding once all this corona mania is a distant memory, I'll be over the moon to pick things up with you again and at that time I'll give you a discount off your next booking to the value of £x as well as guaranteeing your existing package price indefinitely.

Please stay in touch, and once again I'm really sorry you've had to take this decision.

It is mutually agreed that the following terms of agreement form an integral part of this contract and that no variation or modification of this contract shall be effective unless accepted by both [YOUR BUSINESS] and [ASSOCIATE].

It has been agreed between [YOUR BUSINESS] and [ASSOCIATE], that [YOUR BUSINESS] may approach [ASSOCIATE] to employ their services as an associate photographer on future weddings and events.

It is agreed that each wedding and event will be discussed on a case-by-case basis and [ASSOCIATE] has the right to decline any offer from [YOUR BUSINESS] of contracted work.

For weddings and events for which [ASSOCIATE] has been contracted to work as an associate photographer, [ASSOCIATE] agrees to work under the banner of [YOUR BUSINESS].

[ASSOCIATE] agrees to represent [YOUR BUSINESS] as a sole photographer or as part of a team of photographers where more than one photographer is required.

Photographs taken by [ASSOCIATE] at weddings and events for which they have been contracted to photograph by [YOUR BUSINESS] will be the property of [YOUR BUSINESS].

For weddings and events for which [ASSOCIATE] has been contracted to work as an associate photographer, [YOUR BUSINESS] agrees to pay [ASSOCIATE] £XXX per day. Coverage is until midnight. Additional hours are charged at £XXX per hour.

[YOUR BUSINESS] will also reimburse [ASSOCIATE] for any travel and accommodation expenses where appropriate and where previously agreed.

Once a client has signed a contract with [YOUR BUSINESS] for a wedding/event that [ASSOCIATE] will be working on and has paid [YOUR BUSINESS] a £XXX booking fee, [YOUR BUSINESS] will pay [ASSOCIATE] a booking fee of £XXX once [ASSOCIATE] has supplied [YOUR BUSINESS] with a booking fee invoice.

Once [YOUR BUSINESS] has received the balance payment from the client (due no later than 30 days prior to the wedding/event) for their wedding/event, [YOUR BUSINESS] will pay [ASSOCIATE] the balance of the agreed fee once an invoice has been supplied by [ASSOCIATE].

Once a client has signed a contract with [YOUR BUSINESS] and [ASSOCIATE] has received a booking fee, both [YOUR BUSINESS] and [ASSOCIATE] are obliged to see the job through to its conclusion under the terms of the contract between the client and [YOUR BUSINESS].

!!! The following 2 clauses will need to be adjusted in line with the guidance for COVID-19 cancellations and your own cancellation policy !!!

If the client has to cancel the wedding or event, [YOUR BUSINESS] will pay [ASSOCIATE] compensation (as outlined below) only when [YOUR BUSINESS] has received compensation from the client.

After a period of 14 days from the date of signing the contract between [YOUR BUSINESS] and the client, as compensation for loss of income for [YOUR BUSINESS] and [ASSOCIATE], the following charges apply as a percentage of the total fee. (Number of days before the wedding/event) 60 days or less – 100%, 61-90 days – 75%, 91-120 days – 50%.

It is agreed that [YOUR BUSINESS] will carry out all the post production on the images supplied by [ASSOCIATE] and that all photographs taken by [ASSOCIATE] will be supplied as digital negatives (RAW files) on an external drive or any other suitable storage device as soon as possible after the wedding/event.

It is also agreed that [ASSOCIATE] will keep back-up copies of all photographs taken by [ASSOCIATE] until [YOUR BUSINESS] has created its own backups of all photographs taken at the wedding/event.

If [YOUR BUSINESS] has been required to sign a non-disclosure agreement (NDA) by a client for a wedding or event on which [ASSOCIATE] has been contracted by [YOUR BUSINESS] to work as an associate photographer, all parties agree to respect the contract signed with the client.

All information exchanged between [YOUR BUSINESS] and [ASSOCIATE] is confidential and should not be shared with any third party.

[ASSOCIATE] must refrain from any contact with [YOUR BUSINESS] clients on social media to avoid any confusion over ownership of images.

[ASSOCIATE] may use images taken by [ASSOCIATE] on their website or social media as long as all images are full credited to [YOUR BUSINESS].

It is agreed that if either [YOUR BUSINESS] or [ASSOCIATE] have any concerns about the working relationship in the future, they must raise any such concerns as soon as possible.

Definitions
XXXXXXX of XXXXXXX Photography is the Principal Photographer. As associate photographer, assistant or second shooter, you are the Contractor. 
 
The Contractor and XXXXXXX Photography specifically agree that the Contractor is performing the services as an independent contractor and is not an employee of XXXXXXXPhotography. Nothing in this Agreement shall be construed as creating an employer/employee relationship. The Contractor therefore agrees to be responsible for all of his/her own tax and National Insurance.

Conduct 
As associate photographer you as the contractor are representing XXXXXXX Photography for the duration of the shoot, and this should be reflected in conduct. The Contractor understands that he/she represents XXXXXXX Photography and not any other business while completing the assignments. The contractor will not advertise his/her own business, will not solicit work for him/herself, and will only distribute XXXXXXX Photography’s business cards, name, and marketing materials. The contractor is not bound by an exclusivity agreement when not working directly for XXXXXXX Photography.

Clothing 
Clothing should be worn which is appropriately presentable and professional for photographing a wedding, whilst also being practical and comfortable for the purposes of carrying out the work required. For example, male photographers should wear a shirt, suit trousers as a minimum.

Timings
The timings of work during the day will be discussed and agreed beforehand and the appropriate day rate agreed. The contractor should arrive at the shoot location at least 30 minutes prior to the time due to begin shooting to cover contingencies, and this will be allowed for in the day rate. The associate photographer must confirm arrival with XXXXXXX Photography.

Copyright and image usage rights 
The contractor will attribute copyright of any images taken during the shoot, and they agree to grant XXXXXXX Photography and the clients the exclusive right to use these images without restriction.

The contractor agrees not to sell any image taken during the contracted event to any person, company, group, advertising agency, or otherwise, without XXXXXXX Photography’s express written permission. XXXXXXX Photography grants the Contractor permission to use the images taken during the contracted event for the Contractor's professional use in the following manner:

-Print portfolio –  immediately.
-Website and social media (including but not limited to blog, Facebook, Twitter, etc.) after six (6) months from the date of event, and not beforehand. Web use should include an accompanying "Photographed for XXXXXXX Photography" credit line.

Any use that exceeds this limited scope is strictly prohibited.

Images depicting children under 16 years of age must not be used without the express permission of the clients, contacted through XXXXXXX Photography.

Image delivery 
The Contractor agrees to transfer all RAW photos he/she took at the contracted event immediately upon completion of the event. The contractor should use his/her own memory cards, he/she shall make those cards available to XXXXXXX Photography for download immediately upon completion of the event. The Contractor shall be paid for his/her services only upon successful transfer of all photos and/or memory cards to Photographer.

Image loss
In the event of image loss by the contractor on the day, XXXXXXX Photography will not be liable for payment as the contract will not have been completed by the contractor. The contractor should apply due diligence in a back up procedure to ensure there are multiple copies of images during the shoot. The contractor must therefore provide proof in agreement that they will be photographing with dual card redundancy at all times.

Food
RXXXXXXX Photography will ensure that one hot meal is provided for the contractor during the wedding reception, along with a suitable break.  The contractor is responsible for ensuring they have appropriate refreshments up until this point.

Confidentiality
The contractor understands that all materials, price lists, contracts, financial documents, agreements, and other information or documents that are given to him/her in the scope of his/her assignments, are the exclusive property of XXXXXXX Photography, and are privileged, confidential information. The Contractor agrees not to reveal this information to anyone, nor to use this information to the detriment of XXXXXXX Photography in any way.

Liability and insurance
The Contractor warrants that he/she is liable for any loss or any other financial liability suffered by XXXXXXX Photography due to a failure to perform, other than a documented medical emergency or "Act of Nature." XXXXXXX Photography is not liable for any loss or damage to the Contractor’s equipment under this contract, unless the equipment is in use by the principal photographer at the time. The contractor should therefore ensure they have suitable equipment insurance, whilst holding professional liability insurance is a requirement, and certificates should be brought to the shoot.

Equipment
The Contractor is responsible for providing all of his/her own equipment with which to complete the assignment, however lenses  or equipment will be made available if required by XXXXXXX Photography for the creation of specific images. Photographs should be taken and supplied in RAW format.

Payment terms
Payment will be made immediately on presentation of an invoice by the contractor following delivery of RAW images.

Cancellation
It is recognized that the contractor may find alternative more lucrative business opportunities for the day of the shoot as part of their own business. In these circumstances it is acceptable to cancel this contract, but no less than 2 months before the shoot date. If the contractor is unable to fulfil the contract due to health or other reasons, then as much warning as possible must be given to XXXXXXX Photography to allow the arrangement of an alternative contractor.

If the client cancels within 4 weeks of the wedding, Full payment to the contractor will be provided by XXXXXXX Photography.

The agreement constitutes the entire agreements between both parties. Any modification of this agreement must be in writing and signed by both parties. If any provision of this agreement is declared invalid, than the remainder of the agreement will remain in force and intact. This agreement is governed by the laws of United Kingdom of Great Britain.

Steps currently taken to mitigate risk of virus transmission:
Client meetings are held by video conference/telephone only
Employee(s) will adhere to government advice on safe working
On arrival and departure at a location, employee(s) will wash hands or use sanitiser gel
Employee(s) will keep a safe distance, 2 metres wherever practical, and a minimum of 1 metre as per government guidance
Any posing of groups of people to adhere to current government guidelines around social distancing and ‘bubbles’ – it is our clients’ responsibility to advise on who is able to take part in group photos and who is bubbled with who.
Employee(s) will avoid hand shaking and all personal contact
Guests will be asked not to touch the camera, or any of the equipment used on the day
Employee(s) will avoid touching surfaces or any items, unless absolutely necessary and will either clean after, or alert a member of venue staff to sanitise
Employee(s) will use a face mask when required to do so in line with government guidance and/or site/venue requirements
Employee(s) will stop work, alert site/venue staff, leave the site/venue and self-isolate immediately if any symptoms appear
Employee(s) will adhere to the site health & safety policy
All business equipment is cleaned and sanitised thoroughly between shoots
No more than one shoot is currently held per day
